The Committee's responsibilities
include:

| identifying, evaluating and nominating candidates
to fill Board vacancies as they arise for Board approval, and |
| periodically reviewing the structure and
composition of the Board. |
When vacancies arise, the Nomination Committee draws up a job
specification for the role, appointing independent consultants if
necessary. A thorough recruitment process is then carried out,
taking fully into account the need to balance the mix, experience
and expertise of the members of the Board. The Committee also draws
on the expertise of the Society's Head of Human Resources when
appropriate.
